Post-Acquisition Integration
Our post-acquisition integration work focuses on the behaviors that determine whether a deal delivers: whether key people stay, whether customers remain loyal and whether acquired teams adopt new ways of working.
The problem behind the problem.
Integration plans are usually strong on systems, finance and legal entities and weaker on people. Yet the reasons acquisitions underperform are often behavioral. Key engineers or sales leaders leave because they feel uncertain or undervalued. Customers who trusted the founder start to look at competitors. Acquired teams comply with new processes on paper while quietly working around them. Retention arrangements keep people on the payroll without keeping them engaged. By the time these problems appear in revenue or turnover figures, much of the value the deal was meant to capture may already be at risk.
For private equity sponsors pursuing buy-and-build strategies, the challenge repeats with each add-on, and the platform's ability to integrate becomes a core capability. For strategic acquirers and venture-backed companies making their first acquisitions, it is often a new skill learned under pressure. Post-acquisition integration grounded in behavioral science treats the human side of the deal with the same planning discipline as systems and finance, starting before close and continuing until new behaviors are established.
How we deliver post-acquisition integration.
- 01Observe
Understand both organizations
We conduct confidential interviews and listening sessions across both organizations to understand culture, informal networks, decision-making norms and concerns about the deal. We also speak with key customers where appropriate. This identifies the people, relationships and practices that carry value, and the friction points most likely to cause problems.
- 02Signal
Spot retention and customer risk
We analyze people and customer data for early warning signals: flight risk among key contributors, engagement shifts after announcement, changes in customer usage, support contacts and renewal behavior. We combine these with interview findings to prioritize where retention arrangements, leadership attention and customer outreach will matter most.
- 03Design
Design the people integration
We design the human side of integration: communication sequences that reduce uncertainty, retention arrangements that reward engagement as well as tenure, role and decision-rights clarity, onboarding for acquired employees into new systems and processes, and customer communication that protects trust. Each element is grounded in what motivates people and what makes new behaviors easy to adopt.
- 04Test
Pilot and monitor adoption
Before rolling out new processes or tools across the acquired organization, we pilot them with a small group, measure adoption and gather feedback. Pulse surveys and behavioral indicators track engagement and customer health through the integration period, so problems are addressed early rather than discovered in quarterly results.
- 05Scale
Build repeatable integration capability
We coach integration leaders and managers who must sustain the combined organization, and for platforms with active acquisition programs, we codify what worked into a repeatable integration playbook. This turns integration from a one-time scramble into a capability that strengthens with every add-on and supports the equity story at exit.
Deliverables.
What changes.
Who engages us.
We support private equity sponsors and operating partners executing platform and add-on acquisitions, portfolio company CEOs and integration leaders, corporate development teams at strategic acquirers and venture-backed companies making their first acquisitions. Engagements typically begin during confirmatory diligence or between signing and close, continue through the first 100 days and extend through the first year. We are also engaged when an integration has stalled and leadership needs to understand why people and customers are not following the plan.
Industries
Beyond the balance sheet.
Acquisitions are disruptive for the people who live through them. Employees worry about their jobs, customers worry about service and communities worry about local operations. Post-acquisition integration done with care reduces needless anxiety, treats people honestly and preserves the relationships that made the acquired company valuable. We help acquirers make decisions transparently, support affected employees well and protect customer trust, which serves both the people involved and the long-term value of the combined business.
Frequently asked questions.
When should integration planning start?
Ideally during confirmatory diligence. Understanding culture, key people and customer relationships before close allows the deal team to plan retention arrangements, communication and leadership roles in advance. Day one messages and the first weeks after announcement shape how employees and customers interpret everything that follows, so early preparation has an outsized influence on how the integration unfolds.
How do you approach retention arrangements for key people?
Retention bonuses and equity rollovers keep people on the payroll, but they do not guarantee engagement. We help design arrangements that combine financial incentives with clarity about role, growth and recognition, which matter at least as much to many contributors. We also identify which people are truly critical, based on knowledge, relationships and influence, rather than relying on title alone.
Can you help with cultural integration?
Yes, though we approach culture through behavior rather than abstract values statements. We identify the specific practices that differ between organizations, such as how decisions are made, how information flows and how performance is recognized, and focus on the ones that most affect results. Changing a small number of concrete behaviors tends to be more effective than broad cultural programs.
Do you work on repeated add-on acquisitions?
Frequently. Buy-and-build strategies depend on integrating acquisitions efficiently and consistently. We help platforms learn from each integration, refine their approach and codify it into a practical playbook that internal teams can run. Over time this reduces dependence on outside support and makes integration capability part of the platform's value. Each integration also becomes a source of evidence for the next.
